Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the BizVerify API and related services (“Service”) operated by BizVerify (“we”, “us”, “our”).

By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service.

2. Service Description

BizVerify provides a RESTful API for business entity verification. The Service queries government business registries (Secretary of State offices, Companies House, and equivalent authorities) to retrieve and verify business entity data including registration status, formation dates, entity types, and good standing information.

Data returned by the Service is sourced from publicly available government registries. BizVerify acts as an intermediary, not the authoritative source.

3. Accounts

To use the Service beyond the free checker, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity under your account.

You must notify us immediately at legal@bizverify.co if you suspect unauthorized access to your account.

4. Credit-Based Billing

• The Service uses a credit-based billing model. API operations consume credits at published rates available on our pricing page and API documentation.
• Credits are purchased in packages via Stripe. All purchases are in USD.
• Purchased credits do not expire.
• Free-tier credits (50 per month) replenish monthly and cannot be accumulated.
• No refunds on consumed credits. If the Service fails to return a result due to a system error (not a legitimate “not found” result), credits are automatically refunded to your account.
• We reserve the right to adjust credit pricing with 30 days' notice. Existing purchased credits retain their value.

BizVerify retrieves data from government registries and presents it as-is. We do not independently verify, audit, or guarantee the accuracy, completeness, or timeliness of data sourced from government systems.

Government registries may contain errors, delays, or outdated information. You should not rely solely on BizVerify data for critical legal, financial, or compliance decisions without independent verification.

7. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Key restrictions include:

• No reselling or redistributing raw government registry data
• No automated abuse, scraping, or circumventing rate limits
• No circumventing authentication or billing mechanisms
• No building a competing business verification service using our API

8. Account Suspension and Termination

We may suspend or terminate your account if you:

• Violate these Terms or the Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay for purchased credits (e.g., chargeback abuse)
• Create security risks or place undue burden on our infrastructure

Where possible, we will provide notice and an opportunity to cure before termination. Unused purchased credits will be refunded on a pro-rata basis upon termination by us without cause.

You may terminate your account at any time by contacting us at legal@bizverify.co or using the account deletion feature. Remaining purchased credits are non-refundable upon voluntary termination.

9. Intellectual Property

The BizVerify name, logo, API, documentation, and website are our intellectual property. These Terms grant you a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

Government registry data accessed through the Service is public data. We claim no ownership over government data. Your use of such data is subject to the applicable government registry's terms.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
• Our total aggregate liability for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold BizVerify harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts of Tallinn, Estonia.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or by posting a notice on our website. Continued use of the Service after the effective date of changes constitutes acceptance.
